Main purpose of the role

The role of Deputy General Counsel at Truphone is a key role within the Truphone Group. Acting as number 2 to the General Counsel & Company Secretary, the DGC will be responsible for deputising for the GC and holding his delegation of authority in his absence. The DGC will be responsible for leading and delivering management projects to change the way in which legal services are delivered in Truphone. In addition, the DGC will have line management responsibility for the members of the Legal Team based in the Warsaw office.

Reporting to the General Counsel & Company Secretary, the DGC shall deliver commercially driven, risk based legal solutions to the Company and operate successfully at all level within the Truphone Group displaying business acumen, political skill and a clear understanding of the requirements (legal and non-legal of the Truphone business). In this role, the DGC shall carry out and deliver strategic projects required by the General Counsel & Company Secretary.

As part of career development, the DGC will be required to support the company secretarial elements of the work of the General Counsel & Company Secretary and undertake appropriate training.

Key Responsibilities
  • Provide proactive legal support and high quality commercial and legal advice for all areas of the business (predominantly in the UK and EMEA region but not exclusively) - commercial (B2B and B2C), corporate, regulatory and intellectual property;
  • Deputising for the General Counsel and Company Secretary on occasion at senior management meetings or in team management matters including holding the delegation of authority;
  • Provide company secretarial support for Truphone Limited and its subsidiaries;
  • Delivering legal operations transformation projects;
  • Provide support for M&A activity and assisting with all aspects of corporate law;
  • Advise on all strategic, regulatory and commercial matters, with particular emphasis on commercial issues and complex technology related transactions;
  • Understand the key risks for our business and provide legal support aligned to our risk appetite;
  • Monitor and proactively advise on regulatory/compliance, product compliance and consumer laws;
  • Actively manage any form of dispute;
  • Act as a key company ambassador in complex, contract negotiations with our top customers (many of whom operate in highly regulated environments) or suppliers;
  • To negotiate and conclude business transactions on terms that are acceptable and beneficial to the business; and
  • Liaising with external counsel internationally to provide effective and cost-efficient legal advice and services to the Company

Skills and experience required 
  • Ability to quickly build and maintain strong and collaborative relationships at senior levels, both externally and internally.
  • Ability to operate at a senior level as an independent minded advisor with strong emotional intelligence when providing advice and support.
  • First class communication skills.
  • A high level of business acumen using a commercial proportionate risk-based approach; strong attention to detail; exceptional customer relationship skills.
  • A qualified lawyer with a recognised professional qualification.
  • 5- 15 years' experience of working in a global legal environment is essential; ideally in-house corporate experience.
  • A background in the mobile or wider telecoms / IT industry sector is beneficial, not essential.
  • Relevant experience covering a range of activities including complex commercial contract issues, IP and M&A.
  • Ability to negotiate and conclude contracts in English and any experience in one or more additional European language is useful.
  • Ability to work autonomously where required and to handle multiple tasks.
  • Ability to problem solve, find working solutions and use initiative to improve legal and commercial situations.
  • Ability to take responsibility for all legal aspects of their work and collective responsibility within cross discipline teams delivering complex transactions.
